MY HERO VA TERMS OF SERVICE

1. AGREEMENT TO TERMS

These Terms of Service are a legally binding agreement between you and My Hero VA regarding your access to and use of the My Hero VA website, platform, and related services, called the Services. My Hero VA is based in Port Charlotte, Florida, United States.

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Services.

The Services are intended for users who are at least eighteen years old. By using the Services, you represent and warrant that you are at least eighteen.

2. ABOUT MY HERO VA

My Hero VA operates an online marketplace and recruiting service that connects business owners and organizations, called Clients, with independent remote workers, called Workers.

Key points you agree to when using the Services include the following:

• We are not the employer of Workers and do not create an employment relationship with Workers
• We are not a party to the contracts or agreements between Clients and Workers
• We do not supervise or control how, when, or where work is performed
• We do not set pay rates, work hours, or work conditions
• We do not provide benefits, insurance, or payroll services for Workers
• We do not guarantee that any Client will hire a Worker or that any Worker will accept a role

Clients are solely responsible for:

• Correctly classifying Workers and complying with all employment, labor, tax, and payroll obligations
• Determining whether a Worker is suitable, qualified, and legally allowed to perform services
• Performing any background checks or screening they require

Workers are solely responsible for:

• Complying with all local laws, tax obligations, and work authorization requirements
• Accurately representing their skills, experience, identity, and availability

My Hero VA does not provide legal, tax, accounting, or human resources advice. You are responsible for obtaining your own professional advice.

3. CHANGES TO THESE TERMS AND TO THE SERVICES

We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page. Updated Terms are effective when they are posted on the My Hero VA website.

If you continue to use the Services after updated Terms are posted, you are agreeing to the updated Terms. If you do not agree with the updated Terms, you must stop using the Services.

We may change, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you for any change, suspension, or discontinuation of the Services.

4. PLATFORM ONLY AND NO EMPLOYMENT OR AGENCY RELATIONSHIP

By using the Services, you understand and agree that My Hero VA provides a platform to help Clients find and connect with Workers. My Hero VA does not employ Workers and does not act as an employer, staffing agency of record, or legal representative of Clients or Workers.

Nothing in these Terms or in your use of the Services creates a partnership, joint venture, employment, or agency relationship between you and My Hero VA.

Any agreement for services is made directly between the Client and the Worker. You are fully responsible for the terms and performance of your own agreements.

5. USER CONTENT AND PROFILES

You may be able to create and submit content on the Services, including profiles, resumes, job posts, messages, reviews, and other materials, called User Content.

You agree that:

• You own your User Content or have all necessary rights to use and share it
• Your User Content is accurate, complete, and not misleading
• Your User Content does not infringe any intellectual property, privacy, or other rights of any third party
• Your User Content complies with these Terms and with all applicable laws and regulations

By submitting User Content through the Services, you grant My Hero VA a worldwide, non exclusive, royalty free license to host, store, use, reproduce, modify, display, and distribute that User Content as reasonably needed to operate, promote, and improve the Services. You keep ownership of your User Content.

We may remove or disable access to any User Content that we believe violates these Terms, violates law, or is otherwise harmful or inappropriate, but we do not have an obligation to monitor all User Content.

6. FEEDBACK

If you send us suggestions, ideas, or other feedback about the Services, called Feedback, you agree that:

• We may use, modify, and implement the Feedback for any lawful purpose
• We do not owe you any payment, credit, or other compensation for the Feedback
• We have no obligation to keep the Feedback confidential

7. ACCEPTABLE USE AND PROHIBITED ACTIVITIES

You agree to use the Services only for lawful purposes and in a manner that complies with these Terms. You agree that you will not:

• Use the Services to harass, threaten, defraud, or harm any person or business
• Post or transmit content that is illegal, defamatory, hateful, obscene, violent, or otherwise objectionable
• Impersonate any person or entity, or falsely state or misrepresent your identity, affiliation, or credentials
• Scrape, harvest, or collect information or data from the Services without our prior written consent
• Access or attempt to access the Services using automated tools, bots, scripts, or scrapers, except as explicitly allowed in writing
• Attempt to gain unauthorized access to any systems, networks, accounts, or data related to the Services
• Attempt to reverse engineer, decompile, or otherwise attempt to obtain the source code of any part of the Services, except where this is allowed by law and where you have first requested such information from us
• Use the Services to create, market, or support a competing product or service
• Use information obtained through the Services to send unsolicited commercial or promotional messages to other users

We may investigate and take any action we consider appropriate for alleged or actual violations of this section. This can include removing User Content, suspending or terminating access to the Services, and cooperating with law enforcement.

8. PRIVACY

Our collection, use, and disclosure of personal data through the Services are governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Services, you consent to the handling of your information as described in the Privacy Policy.

9. PAYMENT AND BILLING

If you purchase any paid product or service from My Hero VA, you agree to:

• Provide accurate, current, and complete billing and payment information
• Authorize us and our third party payment processors to charge your chosen payment method for the applicable fees
• Pay all fees and charges in accordance with the pricing and terms presented at the time of purchase

Unless we clearly say otherwise at the time of purchase or unless required by law, all fees are non refundable. You are responsible for all taxes, duties, and similar charges associated with your purchases, other than taxes on our income.

10. THIRD PARTY SERVICES AND LINKS

The Services may contain links to third party websites, tools, or services that are not owned or controlled by My Hero VA.

You understand and agree that:

• We do not control and are not responsible for the content, policies, or practices of any third party websites or services
• We do not endorse or recommend any third party products or services referenced on or linked through the Services
• Any dealings you have with third parties are solely between you and the third party, and My Hero VA is not responsible for any loss or damage that results from those dealings.

Your use of third party websites and services is at your own risk and is subject to the terms and privacy policies of those third parties.

11. SERVICE AVAILABILITY AND MODIFICATIONS

We do not promise that the Services will always be available, secure, or free from errors or interruptions.

We may:

• Update, change, or remove features or functions of the Services
• Temporarily or permanently suspend or limit access to the Services
• Perform maintenance that may affect availability of the Services

We will not be liable to you or any other person for any loss or harm that results from any modification, suspension, unavailability, or discontinuation of the Services.

12. INTELLECTUAL PROPERTY

All content and materials in the Services, including software, code, text, graphics, logos, and designs, are owned by or licensed to My Hero VA and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, revocable, non transferable license to access and use the Services for your own personal or internal business purposes, subject to these Terms.

You agree that you will not:

• Copy, distribute, sell, sublicense, or publicly display any part of the Services except as allowed by these Terms
• Remove or alter any copyright, trademark, or other proprietary notices
• Use any My Hero VA names, logos, or trademarks without our prior written consent

13. DISCLAIMER OF WARRANTIES

The Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express or implied, including:

• Any implied warranties of merchantability
• Any implied warranties of fitness for a particular purpose
• Any implied warranties of non infringement
• Any warranties regarding the accuracy, completeness, or reliability of any content or information provided through the Services

We do not warrant that:

• The Services will be uninterrupted, secure, or free of errors or defects
• The Services will meet your expectations or requirements
• Any Worker or Client you connect with through the Services will be reliable, qualified, or suitable for your needs

You use the Services, and you enter into any relationship between Clients and Workers, at your own risk.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by law, in no event will My Hero VA or its owners, employees, or agents be liable to you or to any third party for any indirect, incidental, special, consequential, or punitive damages. This includes damages for lost profits, lost revenue, loss of data, business interruption, or loss of business opportunities arising out of or related to your use of the Services, your inability to use the Services, or any relationship or dispute between Clients and Workers, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability to you for any claim arising out of or related to these Terms or the Services will not exceed:

• The total amount you paid to My Hero VA for use of the Services during the three month period before the claim arose, or
• One hundred dollars, whichever amount is greater

Some jurisdictions do not allow certain exclusions or limitations of liability. In those places, our liability will be limited to the maximum extent allowed by law.

15. INDEMNIFICATION

You agree to indemnify and hold harmless My Hero VA and its owners, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorney fees, that arise out of or relate to:

• Your use of or access to the Services
• Your violation of these Terms or of any applicable law
• Your violation of any rights of a third party, including intellectual property or privacy rights
• Any contract, relationship, dispute, or issue between you and any other user, Client, or Worker

We may, at our own expense, assume the exclusive defense and control of any matter that is subject to indemnification by you. If we do, you agree to cooperate with our defense of that matter.

16. ELECTRONIC COMMUNICATIONS AND SIGNATURES

By using the Services, you consent to receive communications from us electronically, including emails, messages through the platform, and notices posted on the website.

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

You also agree that electronic signatures and electronic records related to the Services are valid and enforceable as if they were in paper form and signed by hand.

17. SMS AND OTHER MESSAGING

If you provide a phone number and opt in to receive SMS or similar messages from us, you understand and agree that:

• We may send you messages related to your account, to the Services, to security, and to marketing or promotional offers
• Message and data rates may apply, depending on your mobile carrier and your plan
• You can opt out of SMS at any time by following the instructions in the message, which may include replying with a word such as STOP

Opting out of SMS messages does not prevent us from contacting you by email or through the platform when such contact is otherwise allowed by these Terms and by law.

18. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and your use of the Services are governed by the laws of the State of Florida, without regard to conflict of law rules.

If a dispute arises between you and My Hero VA, the parties agree to first attempt in good faith to resolve the dispute through informal discussions. If the dispute cannot be resolved informally within a reasonable time, then, except where prohibited or restricted by law, the dispute will be resolved as follows:

• Any dispute or claim arising out of or relating to these Terms or the Services will be resolved by binding arbitration instead of in court
• The arbitration will be conducted by a reputable arbitration provider under its applicable rules
• The arbitration will take place in or reasonably near Port Charlotte, Florida, or by remote means where that is allowed

You and My Hero VA agree that:

• Any arbitration or proceeding will be conducted only on an individual basis
• Class actions and class arbitrations are not permitted
• Each party waives the right to a trial by jury in any dispute that is subject to arbitration

If any part of this section on dispute resolution is found unenforceable, that part will be severed and the remainder will remain in effect, except that if the prohibition on class actions is found unenforceable, then this entire dispute resolution section will not apply.

19. TERMINATION

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason or for no reason, including if we believe that you have violated these Terms or any applicable law.

Upon termination:

• Your right to access and use the Services will end
• Sections of these Terms that by their nature should survive termination will remain in effect, including sections on intellectual property, limitation of liability, indemnification, and dispute resolution

You may stop using the Services at any time. If you wish to request closure of an account, you may contact us at the email address below.

20. MISCELLANEOUS

If any part of these Terms is found to be invalid or unenforceable, that part will be interpreted in a way that reflects the original intent as closely as possible. If this is not possible, that part will be deemed removed, and the remaining provisions will continue in full force and effect.

These Terms, together with any policies or documents referenced in them, form the entire agreement between you and My Hero VA regarding the Services and replace any prior written or oral agreements on the same subject.

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms at any time.
